Subscription Policy

These Subscription Terms (“Terms”) govern all subscription purchases made from (“Thirmik,” “we,” “us,” “our”).


By enrolling in a subscription, you acknowledge and agree to:

  • These Subscription Terms
  • Our Refund & Return Policy
  • Our Shipping Policy
  • Our full Terms of Sale, including the Arbitration Agreement and Class-Action Waiver

These documents together form a legally binding agreement between you and the Company.

 


 

1. Subscription Enrollment & Express Consent

To comply with ROSCA and the FTC Negative Option Rule, you must provide express informed consent to enroll in a subscription.

This means:

  • You must affirmatively check a box, click a button, or otherwise indicate clear consent to recurring charges.

  • Subscription terms—including price, billing frequency, and cancellation steps—are disclosed clearly and conspicuously before checkout.

By completing the subscription checkout, you authorize the Company to automatically charge the payment method you provide at the stated renewal interval until you cancel.

 


 

2. Billing Cycle & Automatic Renewal

Your subscription will automatically renew at the interval you selected (e.g., every 30, 60, or 90 days).

Unless you cancel before your next renewal date:

  • Your payment method will be charged automatically.
  • Charges are processed on or around the renewal date.
  • You will continue receiving shipments or digital access.

Subscription pricing, renewal dates, and product quantity are displayed at checkout and in your post-purchase confirmation email.

 


 

3. Price Changes

We may change subscription prices at any time.

 If we do:

  • You will receive advance notice via the email associated with your account.
  • Continued use of the subscription after effective date constitutes acceptance of the updated pricing.

If you disagree with a price change, you may cancel before the next billing cycle.

 


 

4. Cancellation Policy (“Click-to-Cancel” Compliant)

To comply with U.S. federal and state laws, we provide simple, easy cancellation options:

You may cancel at any time by:

  1. Logging into your account and navigating to the subscription management page, OR
  2. Emailing us directly at hello@thirmik.com with the subject “Cancel Subscription.”

Your cancellation will take effect for all future billing cycles.
Cancellation does not refund past charges or shipped orders.

Requests sent on weekends or holidays will be processed on the next business day with the effective date set to the time the request was received.

 


 

5. Refunds, Returns & Subscription Shipments

Subscription charges are non-refundable once processed.

Because subscriptions involve automatic shipments and inventory allocation:

  • If an order has already entered fulfillment or shipped, it cannot be cancelled mid-cycle.
  • Refunds for recurring charges are not provided unless required by law.

6. Failed Payments & Account Issues

If your payment method declines:

  • We may retry the charge multiple times over several days.
  • You authorize us to attempt to process payment using any payment method saved to your account.
  • Your subscription may be paused or cancelled if payment cannot be collected.

You are responsible for updating your billing information to avoid interruptions.

 


 

7. Free Trials, Discounts & Introductory Offers

If your subscription begins with a free trial or discounted period:

  • You will be charged the full subscription rate once the trial period ends, unless you cancel before the renewal date.
  • Trial start and end dates are disclosed at checkout and in the confirmation email.

We are not required to send additional reminders beyond what is required by law.

 


 

8. Chargebacks & Disputes

By agreeing to these Terms, you acknowledge that:

Chargebacks for issues covered under this Subscription Policy, Refund Policy, or Shipping Policy constitute a breach of contract.

We will provide payment processors with evidence, including:

  • Consent logs
  • IP address and device data
  • Checkout timestamps
  • Delivery confirmation
  • Subscription activity records

Fraudulent or abusive disputes may result in account termination.

All disputes must follow the Arbitration Agreement described below.

 


 

9. Governing Law, Mandatory Arbitration & Class-Action Waiver

All claims, disputes, or controversies arising out of or related to:

  • Subscription billing
  • Automatic renewals
  • Pricing disputes
  • Cancellation issues
  • Shipping and delivery
  • Refunds or chargebacks

Must be resolved through binding individual arbitration, not in court.

You waive:

  • The right to bring or participate in class actions
  • Jury trials
  • Public court proceedings

This legal structure follows federal arbitration principles enforceable under the Federal Arbitration Act.

 


 

10. Modifications to Subscription Terms

We may update these Terms periodically.

The version in effect at the time of your subscription renewal governs your membership.

Continued use or renewal of your subscription constitutes acceptance of updated terms.

 


11. Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS OR OTHER REPRESENTATIVES BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, ARISING OUT OF OR RELATED TO YOUR SUBSCRIPTION OR PARTICIPATION IN SUBSCRIBE & SAVE. OUR TOTAL LIABILITY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, WILL NOT EXCEED THE AMOUNT OF ALL SUBSCRIBE & SAVE PAYMENTS ACTUALLY MADE BY YOU DURING THE COURSE OF YOUR SUBSCRIPTION. THESE EXCLUSIONS AND LIMITATIONS OF LIABILITY WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND WILL SURVIVE ANY CANCELLATION OR TERMINATION OF YOUR SUBSCRIPTION OR PARTICIPATION IN SUBSCRIBE & SAVE.
