Third-Party Content Policy

This Influencer, UGC & Third-Party Content Policy (“Policy”) governs all user-generated content (“UGC”), influencer submissions, creator submissions, affiliate content, and third-party materials used by (“Thirmik,” “we,” “us,” “our”).
By submitting or allowing us to use any content—including videos, images, audio, testimonials, reviews, social media posts, ads, screenshots, or clips—you agree to the terms below.
This Policy also outlines how third parties may request removal of content they believe infringes their rights.
This Policy forms part of our Terms of Sale, Privacy Policy, and Arbitration Agreement.
1. Definitions

“Content” includes videos, photos, images, voice, audio, testimonials, reviews, captions, scripts, likenesses, and any creative media.

“Creator” means any influencer, ambassador, contractor, affiliate, customer, or person submitting content.

“Third-Party Materials” means any content not created by us (including content sourced from Kalodata, social media, or public platforms).
2. License Granted to the Company (Broad, Perpetual, Irrevocable)
When you submit content to us in any form (email, DM, Discord, form submission, affiliate portal, text message, tagging us, or uploading to a link we provide), you grant us a:

…in any and all marketing or commercial contexts.
This means we can use your content forever, in any format, without paying additional compensation, unless a separate written agreement states otherwise.
3. Representations & Warranties (Protects You From Lawsuits)
Creators submitting content represent and warrant that:

You own the rights to the content OR have permission to submit it.

The content does not infringe on copyrights, trademarks, publicity rights, or any third-party rights.

All individuals visible in the content have given permission for commercial use.

The content does not violate any law or platform rules.
-
No other party’s approval is needed for us to use the content.
If these warranties are false, the creator agrees to indemnify the Company to the fullest extent allowed by law.
4. Content Pulled From Public Sources (e.g., Kalodata, Ads Library, Public Websites)
We may use publicly available content, ad examples, clips, screenshots, or creative materials for educational, comparative, transformative, or commentary purposes consistent with fair use and applicable law.
However—
If any creator or rights holder believes their copyrighted work is being used improperly, they may request removal under our takedown process (Section 7).
We do not claim ownership of third-party content sourced from public platforms.
5. No Guarantee of Attribution
Once content is submitted:

We are not required to credit the creator

We may remove attribution
-
We may post anonymously
-
We may use partial clips, edits, or altered versions
Creators waive any moral rights, including rights to attribution or integrity.
6. No Obligation to Use Content
We reserve the sole discretion to:

Reject

Not use
-
Remove
-
Edit
-
Delay posting
…any submitted content for any reason.
Submitting content does not guarantee publication or compensation.
7. Takedown Requests (DMCA-Style Safe Harbor)
(This section protects your brand from copyright claims & lawsuits.)
If you are a content owner and believe material using your copyrighted work appears on our platform or marketing without authorization, you may request removal.
How to Submit a Takedown Notice

A link/description of the allegedly infringing content

Proof of ownership or rights to the content

A statement under penalty of perjury that you believe the use is unauthorized

A statement that you consent to jurisdiction in your state

What Happens Next

We will review your claim
-
We may temporarily remove or disable the content
-
We may contact the party who provided the content (if applicable)

If the claim is valid, we will permanently remove the content from our platforms
Counter-Notice Process
If a creator disputes a takedown:

They may submit a written counter-notice with proof of their rights
-
We may restore the content if appropriate
-
We will notify both parties of our decision
We are not required to act as mediator, arbitrator, or judge.
8. Third-Party Platforms & External Uses
Our use of your content may appear on:

Websites
-
Ads (Meta, TikTok, Google, YouTube, Snap, etc.)

Email marketing
-
SMS marketing
-
Product pages
-
Packaging
-
Retail displays
-
Press releases
-
Blogs
-
Courses, webinars, internal training materials
Creators grant full commercial rights for ALL placements.
9. Right to Request Removal of Your Own Content
Creators may request removal of their own content by emailing: hello@thirmik.com
Subject: “UGC Removal Request”
We may remove the content going forward, but:

We are not required to remove past ads already posted

We are not required to stop ads already running
-
We are not obligated to recall physical media, print materials, or derivative works
-
Removal is at our reasonable discretion unless required by law
This protects your brand’s running ad campaigns.
10. Prohibited Content (Protects You From Liability)
Creators may NOT submit:

Content owned by someone else without permission
-
Copyrighted music, videos, or images you don’t own
-
AI-generated replicas of real people without consent
-
Content with minors without verified guardian consent
-
Medical or false claims
-
Nudity, harassment, discrimination, hate, violence, or illegal conduct
We may permanently ban creators who violate these rules.
11. No Compensation Unless Explicitly Agreed
Submitting content does not entitle the creator to:

Payment
-
Royalties
-
Revenue share
-
Affiliate commissions
Unless a written agreement states otherwise.
12. Arbitration & Class-Action Waiver
All disputes relating to:

Creator content
-
UGC
-
Influencer partnerships
-
Copyright or likeness claims
-
Third-party materials
-
Content removal or takedowns
…must be resolved through binding individual arbitration under our Terms of Sale.
Creators waive the right to:

Class actions
-
Jury trials
-
Representative claims
-
Public court proceedings
13. Updates to This Policy
We may update this Policy at any time. The version in effect on the date content is submitted governs that submission.
